TableTaps Merchant Terms & Agreement

Welcome to TableTaps, a restaurant technology platform operated by Decoders Entity ("TableTaps", "Company", "we", "our", or "us").
By registering a restaurant, creating a merchant account, accessing the Merchant Dashboard, or clicking "I Agree", you ("Merchant", "Restaurant", "you", or "your") acknowledge that you have read, understood, and agree to be legally bound by these Merchant Terms & Agreement.
If you do not agree to these Terms, you must not register or use the TableTaps Platform.
1. Eligibility
You represent and warrant that:
- ✓You are legally authorized to operate the restaurant or food business.
- ✓You possess all applicable licenses, permits, registrations, and approvals required under Indian law.
- ✓All information submitted during registration is accurate and complete.
- ✓You are authorized to accept this Agreement on behalf of your business.
2. Services
TableTaps provides technology services including, but not limited to:
- ✓Restaurant Website
- ✓QR Menu Ordering
- ✓Online Ordering
- ✓Dine-in Ordering
- ✓Takeaway Ordering
- ✓Table Reservations
- ✓Payment Collection
- ✓Merchant Dashboard
- ✓Analytics & Reports
- ✓Customer Relationship Management (CRM)
- ✓Marketing & Promotional Tools
- ✓Additional software services introduced from time to time.
TableTaps acts solely as a technology platform and does not prepare, cook, sell, or deliver food.
3. Merchant Responsibilities
You agree to:
- ✓Maintain accurate restaurant information.
- ✓Keep menu prices updated.
- ✓Honour all accepted customer orders.
- ✓Ensure food quality and hygiene.
- ✓Maintain all required business licenses.
- ✓Provide valid bank account details for settlements.
- ✓Promptly notify TableTaps of any ownership or banking changes.
- ✓Comply with all applicable laws, regulations, and food safety requirements.
You are solely responsible for the quality, preparation, packaging, and legality of the products you sell.
4. Merchant Account
- ✓You are responsible for maintaining the confidentiality of your login credentials.
- ✓You are responsible for all activities occurring under your account.
- ✓TableTaps may suspend or terminate any account that contains inaccurate information, unauthorized activity, or violates these Terms.
5. Payments
Customers may pay using payment gateways integrated with TableTaps.
The Merchant authorizes TableTaps to collect customer payments solely for the purpose of processing transactions, applying applicable deductions, and settling amounts due to the Merchant.
6. Weekly Settlement
Merchant settlements are processed once every week, normally on Sunday.
The settlement amount is calculated as:
Successful Customer Payments
Less:
- ✓TableTaps Commission
- ✓Subscription Charges (if applicable)
- ✓Applicable Taxes
- ✓Payment Gateway Charges (where applicable)
- ✓Refunds
- ✓Chargebacks
- ✓Government deductions required by law
The remaining balance will be transferred to the Merchant's registered bank account.
If the scheduled settlement day falls on a banking holiday or circumstances beyond our control delay processing, settlement may be completed on the next available banking day.
7. Commission
TableTaps charges a commission on successful orders.
- ✓Commission generally ranges between 2% and 5%.
- ✓The applicable commission depends on your subscription plan, commercial agreement, promotional offer, or pricing schedule.
- ✓TableTaps may revise commission rates after providing prior notice through email, dashboard notification, or an update to the pricing schedule.
- ✓The current applicable commission will be displayed within your Merchant Dashboard or merchant onboarding details.
8. Subscription Plans
Some features require a paid subscription.
Subscription fees:
- ✓are charged according to the selected plan;
- ✓may be billed monthly or annually;
- ✓are generally non-refundable unless required by law or expressly stated.
Failure to pay subscription fees may result in suspension of services.
9. Refunds
TableTaps manages customer refund requests.
Refunds may be approved where appropriate, including but not limited to:
- ✓Duplicate payments
- ✓Cancelled orders
- ✓Failed transactions
- ✓Technical issues
- ✓Fraud prevention
- ✓Orders that cannot be fulfilled
- ✓Other circumstances determined by TableTaps acting reasonably
Approved refunds may be deducted from future merchant settlements.
10. Chargebacks
If a payment is reversed by a bank, card network, UPI provider, or payment gateway, TableTaps may:
- ✓Recover the amount from future settlements;
- ✓Temporarily hold settlement while investigating the dispute;
- ✓Request supporting documents from the Merchant.
The Merchant agrees to cooperate fully in resolving chargebacks.
11. Customer Data
Customer information generated through the Platform is considered shared between TableTaps and the Merchant.
The Merchant agrees:
- ✓Not to sell customer information.
- ✓Not to misuse customer data.
- ✓To comply with applicable privacy and data protection laws.
TableTaps may use aggregated or anonymized data to improve its services, generate analytics, detect fraud, and develop new features.
12. Marketing
TableTaps may provide optional marketing services, including SMS, WhatsApp, email, loyalty campaigns, advertisements, and promotional tools.
Participation in paid promotional campaigns may require additional charges.
13. Taxes
Each party is responsible for its own tax obligations.
GST and other applicable taxes shall apply wherever required by law.
14. Prohibited Activities
The Merchant must not:
- ✓Sell illegal goods or services.
- ✓Engage in fraudulent transactions.
- ✓Manipulate orders or customer reviews.
- ✓Misuse the Platform.
- ✓Attempt unauthorized access to TableTaps systems.
- ✓Infringe intellectual property rights.
- ✓Use the Platform for money laundering or unlawful purposes.
Violation of this section may result in immediate suspension or permanent termination.
15. Suspension & Termination
TableTaps may suspend or terminate any merchant account immediately if:
- ✓False information was provided.
- ✓Fraud is suspected.
- ✓Applicable laws are violated.
- ✓Repeated customer complaints remain unresolved.
- ✓Subscription dues remain unpaid.
- ✓These Terms are otherwise breached.
Termination does not remove any outstanding financial obligations.
16. Intellectual Property
All software, code, APIs, dashboards, trademarks, branding, designs, databases, and technology remain the exclusive property of Decoders Entity and TableTaps.
The Merchant receives only a limited, non-exclusive, revocable licence to use the Platform during the subscription period.
17. Disclaimer
TableTaps provides its services on an "as available" and "as is" basis.
While we strive for uninterrupted service, we do not guarantee uninterrupted availability and are not responsible for outages caused by payment gateways, banks, telecommunications providers, cloud infrastructure, force majeure events, or other third parties.
18. Limitation of Liability
To the maximum extent permitted by law, TableTaps shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business opportunities, goodwill, or data.
TableTaps' aggregate liability arising from these Terms shall not exceed the total commission earned by TableTaps from the Merchant during the three (3) months immediately preceding the event giving rise to the claim, except where liability cannot be excluded under applicable law.
19. Amendments
TableTaps may update these Terms from time to time.
Material changes will be communicated through the Merchant Dashboard, registered email, or other reasonable electronic means.
Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by the laws of India.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts where Decoders Entity has its registered place of business, unless otherwise required by applicable law.
21. Electronic Acceptance
By clicking "I Agree", "Accept & Continue", "Create Merchant Account", or any similar electronic acceptance button, you acknowledge that:
- ✓You have read these Merchant Terms & Agreement.
- ✓You understand and agree to be legally bound by them.
- ✓You are authorized to enter into this Agreement on behalf of the Merchant.
- ✓This electronic acceptance constitutes a legally binding agreement and has the same force and effect as a handwritten signature under applicable Indian law.
By proceeding with registration, you expressly consent to receive communications, invoices, notices, and policy updates electronically.
